Terms and Conditions for photo and video services

§ 1 Scope

1. These Terms and Conditions apply to all contracts for photo and video services between PIXER GmbH, Messeallee 26, 45131 Essen, Germany, registered at the Local Court (Amtsgericht) of Essen under HRB 25389, VAT ID DE295450564, represented by its managing director Behzad Heidari (“Pixer” or “we”), and its clients. This includes in particular photo and video coverage at trade fairs and events, trade fair films, interviews, social media clips and corporate shoots (corporate video).
2. Our services are offered exclusively to businesses within the meaning of § 14 of the German Civil Code (BGB), to legal entities under public law, special funds under public law and public authorities. Consumers within the meaning of § 13 BGB cannot book with us.
3. Whoever books confirms that they are of legal age and authorised to represent the company or authority on whose behalf they book.
4. As we only contract with businesses and authorities, there is no statutory consumer right of withdrawal. How to cancel or rebook is set out in § 5.
5. Deviating or additional terms of the client apply only if we expressly agree to them in text form. Individual agreements in our quote or in the booking confirmation take precedence over these terms.

§ 2 Conclusion of contract

You can book in two ways:

1. Online reservation: you choose a package and a date on our website and pay a reservation fee of €149 net through our payment provider Stripe. This is your binding offer to enter into the contract.
2. Enquiry and quote: you send us an enquiry by email, WhatsApp or contact form. We send you a quote by email. Your order based on this quote is your binding offer to enter into the contract.
3. In both cases the contract is only concluded with our booking confirmation by email. We confirm or decline within 24 hours at the latest after receiving your reservation or order. If you do not receive a confirmation within this period, your booking is no longer binding on you and we refund any reservation fee already paid in full.
4. The automatic payment receipt from Stripe is not a booking confirmation.
5. If the requested date is not available, we tell you and refund any reservation fee already paid in full, as a rule via the same payment method.

§ 3 Services

1. The type and scope of our services follow from the package description on our website at the time of booking or from our individual quote.
2. Our trade fair packages (fixed prices, net):
   • Trade Fair Basic: €990
   • Professional: €1,490
   • Full Day: €1,990
   Corporate video productions start at €1,990 net. What a package includes is stated in its package description.
3. For trade fair and event packages we deliver the finished photos and videos within 24 hours after the end of the event you booked us for. You usually receive the first photos on the same day. For corporate video and other productions, the delivery times in the package description or quote apply.
4. Two revision rounds are included unless the package description or quote provides otherwise. Details are set out in § 8.
5. We deliver via a private download link. Please download the files promptly and keep your own backup.
6. We keep the delivered files for 12 months after delivery. After that we may delete them.
7. We may use qualified photographers, videographers and editors from our team or freelancers to carry out the work. Pixer remains your contractual partner in every case.

§ 4 Prices and payment

1. All prices are net plus statutory VAT.
2. The reservation fee of €149 net is credited in full against the package price.
3. You pay the balance either by invoice, payable without deduction within 14 days of delivery, or in advance online by credit card.
4. Businesses based in another EU member state with a valid VAT ID receive an invoice without German VAT under the reverse charge procedure, and the tax liability passes to you. Please provide your VAT ID when booking.
5. Businesses based outside the EU receive an invoice without German VAT, provided the legal requirements are met. On request, you provide proof that you are a business.
6. Travel within North Rhine-Westphalia (NRW) is included in the price. For work outside NRW we charge travel and, where applicable, accommodation costs as stated in the quote.
7. In the event of late payment, the statutory rules apply.

§ 5 Cancellation and rebooking

Please cancel or rebook in text form; an email to info@pixer.tv is sufficient. The time we receive it is decisive. The periods refer to the booked date (show day or shoot day).

• Up to 14 days before: cancellation is free of charge. We refund the reservation fee or transfer it to a new date, as you choose.
• Less than 14 days before: the reservation fee is forfeited.
• Less than 72 hours before, or no-show: we charge 50 % of the package price. Any reservation fee already paid is credited. No-show means that we are on site at the booked time but cannot work for reasons for which you are responsible.
• Rebooking: you can move your booking to another available date once free of charge if we receive the request up to 14 days before. Later or further rebookings are possible subject to availability; we tell you about any costs in advance.
• Show cancelled or postponed by the organiser: you can transfer your booking to a new date free of charge or receive a full refund of all amounts already paid.

You remain entitled to prove that we suffered no loss or a significantly lower loss. If we cancel a confirmed date, we refund all amounts already paid in full.

§ 6 Client’s duties to cooperate

So that we can work on time and without interruption, you take care of the following:

• Exhibitor passes or accreditation for our team, in good time before the date.
• Access to your stand (booth) at the booked time.
• A contact person on site who can be reached during the shoot.
• Compliance with the house rules of the venue and the organiser’s requirements. Please tell us in advance about any special rules on photography and filming; we follow them.
• The necessary consent of the people on your stand, for example employees, stand staff, guests and interviewees. These people should know that photos and video are being taken.
• Clearance of exhibits: tell us in advance about confidential exhibits, prototypes or screen content that must not be shown.

If we cannot work, or can only work to a limited extent, because this cooperation is missing, we retain our claim to the agreed fee. We credit any expenses saved. The delivery time is extended accordingly.

§ 7 Usage rights

1. Once paid in full, you receive a non-exclusive right, unlimited in time and territory, to use the delivered photos and videos for your own corporate communication, for example website, social media, advertising, press work, presentations and print material.
2. You may pass the material on to your partners, dealers and distributors so that they can promote your company and your products.
3. You may not sublicense the material to third parties for their own purposes, for example by selling it or offering it in stock image libraries.
4. The right of use covers Pixer’s rights in the material. § 6 applies to the rights of people shown and to third-party exhibits.
5. We may show selected work as a reference on our website, on social media and in presentations unless you object when booking.

§ 8 Acceptance and revisions

1. Please review the delivery within 14 days and send us any revision requests or defects in text form.
2. Two revision rounds are included unless the package description or quote provides otherwise. Please collect your requests for each round in one message. Revisions cover photo selection, photo editing, the edit, text and subtitles of the delivered material. New footage or a changed concept is not a revision.
3. We charge for further revision rounds after prior agreement.
4. Photo selection, style and the edit are at Pixer’s creative discretion unless you have specified otherwise. Differences in taste are not a defect, but can be addressed within the revision rounds.
5. The work is deemed accepted if you do not send revision requests or report defects within 14 days of delivery, or if you publish the material. We point out this consequence when we deliver.

§ 9 Liability

1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
2. In the case of slight negligence we are only liable if we breach an essential contractual obligation (cardinal obligation). This is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In this case liability is limited to the typical, foreseeable damage, at most to the order value.
3. We are not liable if we cannot work, or can only work to a limited extent, because the organiser or the venue operator refuses our team access or bans it from the premises and we are not responsible for this.
4. If the assigned person cannot work due to illness or another important reason, we provide an equally qualified replacement wherever possible. If this is not possible, we refund all amounts already paid in full. Further claims exist only under paragraph 1.
5. § 10 applies to force majeure.
6. These liability rules also apply to our employees, freelancers and vicarious agents.

§ 10 Force majeure

1. Force majeure means events beyond the control of the parties, for example natural disasters, severe weather, epidemics, orders by public authorities, war, terrorism, transport strikes or large-scale power or transport failures.
2. For as long as such an event lasts, neither party is obliged to perform. We offer you an alternative date. If no alternative date is possible, we refund amounts already paid for services not provided. No claims for damages arise in this respect.
3. Each party informs the other without delay if it is affected by force majeure.

§ 11 Data protection

1. We process your personal data, such as the names, contact and billing details of your contact persons, to perform the contract. Details are in our privacy policy.
2. You decide on the publication of the delivered material. You obtain the necessary consent of the people shown (§ 6).

§ 12 Payment provider

1. We process online payments, that is the reservation fee and advance payments by credit card, through the payment provider Stripe. Stripe processes your card details; we do not receive full card details.
2. The terms and privacy information of Stripe also apply to payment processing.
3. Your contractual partner for the photo and video services is Pixer alone. Pixer issues the invoice. Refunds are made, as a rule, via the same payment method.

§ 13 Final provisions

1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
2. The place of jurisdiction is Essen, Germany, if you are a merchant, a legal entity under public law or a special fund under public law, or if you have no general place of jurisdiction in Germany. We may also sue you at your registered office.
3. If a provision of these terms is invalid, the remaining provisions remain valid. The invalid provision is replaced by the statutory rule.
4. The contract language is German. This English version of the terms is for information only. In the event of any discrepancy, the German version prevails.
